Welcome to Neural Canvas! These Terms of Service ("Terms") govern your use of our platform, including our AI comic creation tools and marketplace services. By using Neural Canvas, you agree to these terms in their entirety. This policy is effective as of January 2025.

🎨 AI Comic Creation Services

Neural Canvas provides AI-powered tools for creating digital comics and characters. You retain creative control over your generated content, but acknowledge that our AI systems are the foundation that makes creation possible. All AI-generated assets created through our platform are subject to these terms.

🏪 Marketplace Terms & Transaction Fees

Our marketplace enables creators to monetize their comics through our secure platform. By participating in marketplace activities, you agree to the following terms:

• Transaction Fee:

  Neural Canvas charges a 10% transaction fee on all successful sales. This fee is automatically deducted from the sale price before payout and covers payment processing, fraud protection, platform maintenance, customer support, and continuous service improvements.

• Payment Processing:

  All transactions are processed through Stripe. You agree to Stripe's terms of service and acknowledge that Neural Canvas is not responsible for payment processing delays or issues beyond our control.

• Payout Requirements:

  Sellers must connect a valid payout method through Stripe Connect before listing comics for sale. Neural Canvas reserves the right to hold payouts for verification or fraud prevention purposes.

• Final Sales:

  All marketplace transactions are final once ownership has transferred. Refunds are not available for completed sales unless required by law.

🔌 Stripe Connect Requirements for Creators

To sell comics on Neural Canvas, creators must complete Stripe Connect setup. This is mandatory for all sellers and cannot be bypassed. Here's what you need to know:

• Mandatory Setup:

  You cannot list comics for sale without completing Stripe Connect onboarding. This ensures secure payment processing and compliance with financial regulations.

• Identity Verification:

  Stripe Connect requires identity verification including personal information, tax ID, and bank account details. This is required by law for payment processing.

• Global Support:

  Stripe Connect supports creators worldwide with local banking options and currency conversion in most countries.

• One-Time Setup:

  Once completed, your Stripe Connect account remains active for all future sales on Neural Canvas.

• Secure Processing:

  All payment data is handled directly by Stripe, ensuring the highest security standards and PCI compliance.

By using Neural Canvas marketplace features, you agree to Stripe Connect's terms of service and acknowledge that proper setup is required before any sales activity.

🔄 Ownership & Rights Transfer

When you sell a comic through our marketplace, you transfer full ownership and usage rights to the buyer. This includes:

• Complete ownership of the digital comic file
• Right to display, share, and resell the comic
• All commercial usage rights
• Right to modify or derivative works (subject to platform guidelines)

You retain attribution as the original creator, but forfeit all other rights upon sale completion. Neural Canvas facilitates these transfers but is not responsible for disputes between parties.

💰 Revenue & Earnings

Neural Canvas's business model is built on marketplace success. Our 10% transaction fee enables us to:

• Maintain secure, reliable platform infrastructure
• Provide 24/7 customer support and dispute resolution
• Develop new AI features and platform improvements
• Ensure fraud protection and secure payment processing
• Market the platform to attract more buyers and sellers
• Cover operational costs including hosting, security, and compliance

This fee structure aligns our success with yours - we only profit when our users successfully transact on the platform.

🚫 Prohibited Activities & Platform Protection

To maintain a safe and fair marketplace, the following activities are strictly prohibited:

• Bidding on your own comics or using alternate accounts to manipulate prices
• Attempting to circumvent our transaction fees through external payments

• Creating content that violates copyright, trademark, or other intellectual property rights, including but not limited to:

  • Using copyrighted characters from movies, TV shows, video games, comics, or books
  • Uploading celebrity photos or likenesses without permission
  • Using trademarked logos, brand names, or corporate imagery
  • Creating derivatives of protected intellectual property
  • Using stock photos or images from photo repositories without proper licensing
• Uploading inappropriate, offensive, or illegal content
• Engaging in fraudulent activities or payment disputes without cause
• Attempting to reverse engineer or compromise our AI systems

• Claiming ownership of content you do not own or have rights to use

WARNING:

Neural Canvas reserves the right to suspend accounts, reverse transactions, and take legal action against users who violate these terms. We maintain comprehensive transaction monitoring and fraud detection systems.

Users found using copyrighted or trademarked content will face immediate account termination and bear full legal responsibility for any resulting IP violations.

🔒 Platform Rights & Content Moderation

Neural Canvas retains the following rights to protect our platform and users:

• Remove any content that violates our community guidelines
• Suspend or terminate user accounts for terms violations
• Hold or reverse transactions suspected of fraud
• Modify platform features and fee structures with 30 days notice
• Access user content for moderation and platform improvement purposes
• Share transaction data with payment processors and regulatory authorities as required

📊 Data Collection & Usage

We collect and use data to improve our services and ensure platform security:

• Account information and payment details for transaction processing
• Usage analytics to improve AI models and platform features
• Transaction history for fraud prevention and tax reporting
• Content metadata to enhance search and discovery features
• Communication records for customer support purposes

Your personal information is protected according to our privacy policy. We do not sell personal data to third parties, but may share aggregated, anonymized data for business purposes.

💳 Payment Terms & Financial Responsibility

By using our marketplace, you agree to the following financial terms:

• All prices are displayed in USD and include applicable taxes
• Transaction fees are non-refundable, even if a sale is later disputed
• You are responsible for any taxes on your earnings from sales
• Neural Canvas may adjust fee structures with advance notice
• Chargebacks or payment disputes may result in account suspension
• We reserve the right to require additional verification for large transactions

🛡️ Limitation of Liability

Neural Canvas provides the platform "as is" and disclaims all warranties. Our liability is limited to the amount of fees paid to us in the 12 months preceding any claim. We are not responsible for:

• Disputes between buyers and sellers
• Loss of earnings due to platform downtime

• Copyright infringement, trademark violations, or any intellectual property breaches by users - users bear full responsibility for all IP-related legal issues, damages, and costs

• Legal consequences, fines, penalties, or litigation costs resulting from users' unauthorized use of third-party intellectual property

• Third-party payment processor issues
• Market fluctuations affecting comic values
• User-generated content quality or accuracy

• Any costs associated with defending or settling intellectual property claims brought against users

CRITICAL DISCLAIMER:

Neural Canvas explicitly disclaims any responsibility for intellectual property violations committed by users. Users who upload copyrighted, trademarked, or otherwise protected content without authorization do so entirely at their own risk and expense. Neural Canvas will not provide legal assistance, financial support, or any form of indemnification for IP-related claims.

📱 Account Management & Termination

You may delete your account at any time, but certain obligations survive termination:

• Completed transactions and ownership transfers remain valid
• Outstanding fees and obligations must be settled
• We may retain transaction records for legal and tax purposes
• Sold comics remain with their current owners

Neural Canvas may terminate accounts for terms violations, with or without notice, and reserves the right to refuse service to anyone.

🌍 International Usage & Compliance

Neural Canvas operates globally but is governed by US law. Users are responsible for compliance with their local laws regarding digital asset transactions, taxes, and content regulations. We reserve the right to restrict access in certain jurisdictions.

📸 Content Upload Requirements & Intellectual Property Responsibility

When uploading photos, images, or any content to Neural Canvas, you assume full legal responsibility for all intellectual property rights. By uploading content, you represent, warrant, and agree to the following:

• IP Ownership Requirement:

  You must own all intellectual property rights to uploaded content, including but not limited to copyrights, trademarks, publicity rights, and any other proprietary rights

• Third-Party IP Prohibition:

  You agree not to upload any images, characters, logos, or content that is owned by third parties, including but not limited to copyrighted characters, celebrity likenesses, brand logos, or any content protected by intellectual property laws

• Full Legal Responsibility:

  If you choose to upload images or content for which you do not own the intellectual property rights, you acknowledge and agree that you assume full legal and financial responsibility for any resulting copyright infringement, trademark violation, or other IP breach

• Indemnification Agreement:

  You agree to indemnify, defend, and hold harmless Neural Canvas, its officers, directors, employees, and agents from any and all claims, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising from your use of third-party intellectual property
• Content must not be inappropriate, illegal, or offensive
• You grant Neural Canvas a license to process content through our AI systems solely for the purpose of providing our services
• We may use uploaded content to improve our AI models (anonymized and stripped of personal identifying information)

⚖️ Intellectual Property Violations & Legal Consequences

Neural Canvas takes intellectual property rights seriously and maintains a zero-tolerance policy for IP violations. Users who violate IP rights face the following consequences:

• Immediate Account Suspension:

  Accounts found to be using copyrighted or trademarked content without permission may be suspended or terminated immediately

• Legal Liability:

  Users are solely responsible for any legal action, including lawsuits, cease and desist orders, DMCA takedowns, or financial penalties resulting from their IP violations

• Fines and Damages:

  All fines, statutory damages, legal fees, settlement costs, and other monetary penalties resulting from your IP violations are your sole responsibility and cannot be transferred to Neural Canvas

• Criminal Liability:

  In cases of willful copyright infringement, users may face criminal prosecution under applicable laws, which is entirely their responsibility

• No Platform Liability:

  Neural Canvas will not provide legal defense, financial assistance, or any form of support for users facing IP violation claims

IMPORTANT NOTICE:

By using Neural Canvas, you explicitly acknowledge that you understand the serious legal and financial risks associated with using copyrighted or trademarked content without permission. You agree that Neural Canvas has clearly warned you of these risks, and you choose to proceed at your own risk and responsibility.

🔄 Terms Updates & Modifications

Neural Canvas may update these terms at any time. Significant changes will be communicated via email or platform notifications. Continued use of the platform after changes constitutes acceptance of new terms. We recommend reviewing terms periodically.

👶 Age Requirements

Neural Canvas is intended for users 13 years and older. Users under 18 must have parental consent to use marketplace features. We do not knowingly collect personal information from children under 13.

🏛️ Dispute Resolution & Governing Law

These terms are governed by US law. Any disputes will be resolved through binding arbitration rather than court proceedings. Users waive the right to class action lawsuits. For marketplace disputes between users, Neural Canvas may provide mediation services but is not obligated to resolve user-to-user conflicts.
